Associate Agreement Contract
This Associate Agreement (“Agreement”) is entered into between SkillsLink (Pty) Ltd (“SkillsLink”) and the undersigned Associate Instructional Designer (“Associate”).
1. Services Provided by SkillsLink:
- SkillsLink shall provide the Associate with SETA or QCTO course material templates for developing qualifications or skills programs. These materials may include but are not limited to:
- Learner Guide
- Learner Workbook (formative assessment)
- Learner Practical Module Guide and Logbook
- Learner Work Experience Guide and Logbook
- Summative Assessment Guide and Alignment Matrix
- Facilitator Guide.
- SkillsLink will assist the Associate in identifying SAQA-registered qualifications in demand and conducting basic market feasibility studies for said qualifications or skills programs.
- SkillsLink shall offer mentoring and coaching to the Associate on curriculum design, utilizing AI tools for instructional design, and crafting relevant assessments.
- SkillsLink will provide quality assurance for the developed materials.
- Marketing and sales of the developed materials will be conducted by SkillsLink via its website and Learning Management System (LMS).
- SkillsLink shall own a minimum of 40% of the Intellectual Property (IP) rights of traditional, blended, and e-learning versions of the qualifications or skills programs. Blended and e-learning versions will be hosted on the SkillsLink LMS.
2. Responsibilities of the Associate:
- The Associate shall conduct research and develop learning materials aligned with qualification standards.
- Seek assistance from SkillsLink when necessary.
- Assist with marketing and sales efforts where possible.
- Seek continuous review and feedback from SkillsLink during the development process.
- If desiring to offer e-learning versions, the Associate will learn to utilize the WordPress backend of the LearnPress LMS for course creation.
- The Associate shall use their own resources entirely for work related to SkillsLink and acknowledge this is not an employment contract.
- Manage their own time and productivity, working remotely and flexibly.
- Commit to completing tasks within agreed-upon deadlines.
- Acknowledge that SkillsLink shall not be held responsible or accountable for any risks or consequences resulting from the Associate’s work as an instructional design associate.
- The Associate shall own up to 60% of the Intellectual Property (IP) rights of the developed materials and related sales. Note that in some instances, the percentage ownership may vary according to the level of support and IP that is provided by SkillsLink.
3. Additional Requirements:
- Upon signing the Associate Agreement, a unique addendum will be created to specify the agreement’s unique aspects.
4. General Provisions:
- This Agreement is governed by the laws of South Africa.
- Both parties acknowledge that this Agreement represents their entire understanding and supersedes any prior agreements or understandings, whether written or oral.
- Any modifications or amendments to this Agreement must be made in writing and signed by both parties.
- The Associate promises to always act with integrity and high ethics, and never engage in any action that would harm the reputation and image of SkillsLink negatively.
By signing below, both parties agree to the terms and conditions outlined in this Agreement.
